These Terms & Conditions (“Terms”) govern all business-to-business (“B2B”) transactions entered into with Exalon Promotion Pvt. Ltd. (“Exalon,” “we,” “us,” or “our”), an Indian apparel manufacturing company specializing in men’s clothing, bulk supply, and private label manufacturing.
1. Applicability
1.1 These Terms apply exclusively to B2B transactions, including but not limited to bulk buyers, distributors, corporates, exporters, institutions, and private-label clients.
1.2 These Terms do not apply to individual consumer (B2C) purchases.
2. Orders & Minimum Order Quantity (MOQ)
2.1 All orders are subject to acceptance and confirmation by Exalon in writing.
2.2 Minimum Order Quantities (MOQ) shall apply and may vary based on product type, customization level, and manufacturing requirements.
2.3 MOQs will be communicated at the quotation or negotiation stage and may be revised from time to time.
3. Pricing, Invoicing & Payment Terms
3.1 Prices quoted are exclusive of applicable taxes, duties, shipping, and logistics charges unless stated otherwise.
3.2 All invoices must be paid as per the agreed payment terms mentioned in the quotation or proforma invoice.
3.3 Exalon reserves the right to suspend production or dispatch in case of delayed or non-payment.
3.4 Any bank charges, foreign exchange charges, or transaction fees shall be borne by the client.
4. Production Lead Time & Delivery Commitments
4.1 Standard production lead times shall be communicated at the time of order confirmation.
4.2 Custom or private-label manufacturing timelines depend on design approval, fabric availability, sampling, and order volume.
4.3 Any delay caused due to client-side approvals, changes, or force majeure events shall not be attributed to Exalon.
5. Intellectual Property Rights
5.1 All designs, logos, trademarks, or specifications provided by the client shall remain the intellectual property of the client.
5.2 Exalon shall not use client-provided designs for any third party without written consent.
5.3 All proprietary designs, patterns, processes, or materials developed by Exalon shall remain the exclusive intellectual property of Exalon.
6. Confidentiality
6.1 Both parties agree to maintain strict confidentiality regarding commercial terms, designs, pricing, samples, and business information.
6.2 Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.
7. Limitation of Liability
7.1 Exalon shall not be liable for any indirect, incidental, or consequential damages including loss of profit or business.
7.2 Exalon’s maximum liability shall be limited to the invoice value of the goods supplied.
8. Governing Law & Jurisdiction
8.1 These Terms shall be governed by and construed in accordance with the laws of India.
8.2 Courts located in India shall have exclusive jurisdiction over any disputes.
